Terms & Conditions

Sennovate (the “Company”) provides Identity and Access Management services (“Services”), which are conditioned upon your acceptance of all terms and conditions (“Terms”) stated here. In these Terms, “we,” “us,” and “our” refer to the Company, while “you” and “your” refer to you, the user of our Services. Please read these Terms carefully before using our Services. If you do not agree to all the terms and conditions of this agreement, then you may not use our Services. A breach or violation of these Terms will result in immediate termination of your Service. 

GENERAL CONDITIONS 

We reserve the right to refuse Service to anyone for any reason at any time. 

We reserve the right to refuse and/or cancel any order you place with us. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. 

We reserve the right at any time to modify or discontinue any Services or service plans without notice. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of Services. 

We do not warrant that the quality of any Services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected. 

DESCRIPTION OF SERVICES 

Our Services are organized into three service plans. You will pay a monthly subscription fee in return for one or more of the following Services, based on the plan that you purchase (see below for plan details): support services (delivered through our customer portal), hands-on remote and/or on-site support, managed services, and/or access to one or more of our AI Security Assistants (chatbots). 

NOTE: AI Security Assistants are currently in beta and available to you as-is with no warranties of accuracy of information or performance. 

We support the following Identity and Access Management (IAM) and IT Infrastructure products: 

Amazon Web Services (AWS) Cloud, Cloudentix, CyberArk Enterprise Password Vault, CyberArk Privileged Session Manager, Microsoft Active Directory, Microsoft Azure, Okta Lifecycle Management, Okta Multi-Factor Authentication (MFA), Okta Single Sign-On (SSO), Okta Universal Directory, Oracle Access Management (OAM), Oracle Identity Cloud Services (IDCS), SailPoint IdentityIQ, SailPoint IdentityNow, and Thycotic Secret Server. Other products can be supported by agreement. 

ADVISORY SERVICES PLAN

Pricing: monthly; varies by number of products supported (e.g. Okta, SailPoint, etc.) 

Includes:  

  • Access to our product-specific AI Security Assistants (price of the plan will vary based on how many AI Security Assistants you subscribe to), which will answer your product-specific questions (e.g. Okta, SailPoint, CyberArk, etc.). For example, you can ask the Okta Security Assistant how many users logged into Okta this past month or how many Office 365 licenses you are using. Security Assistants can also perform automated tasks such as generating reports. For example, you can ask the CyberArk Security Assistant to generate a report detailing all of your privileged accounts that have not had their passwords changed in a long time. 

PREMIUM SUPPORT PLAN

Pricing: monthly; varies by number of products supported (e.g. Okta, SailPoint, etc.) 

Includes:  

  • Access to our product-specific AI Security Assistants (price of the plan will vary based on how many AI Security Assistants you subscribe to), which will answer your product-specific questions (e.g. Okta, SailPoint, CyberArk, etc.). For example, you can ask the Okta Security Assistant how many users logged into Okta this past month or how many Office 365 licenses you are using. Security Assistants can also perform automated tasks such as generating reports. For example, you can ask the CyberArk Security Assistant to generate a report detailing all of your privileged accounts that have not had their passwords changed in a long time. 
  • General and Technical Support from our security experts, who can answer your product-specific security questions (e.g. Okta, SailPoint, CyberArk, etc.) and also provide hands-on remote support where they login to your systems to fix issues. Support incidents are not provided on-demand; customers must submit support tickets through the online customer portal, at which point our technicians will schedule a mutual time to deliver that support. Hours of availability for support services are determined by the specific service level agreement (SLA) in place for each customer. 
  • Access to our knowledge base, which contains articles and video tutorials geared towards senior information security leaders. The knowledge base articles that are available to each customer depend on which product(s) Sennovate supports for that customer (e.g. if a customer on the PREMIUM SUPPORT plan subscribes to an Okta AI Security Assistant, then he will also receive access to Okta-themed knowledge base resources. 

MANAGED SERVICES PLAN

Pricing: monthly; varies by number of products supported (e.g. Okta, SailPoint, etc.) 

Includes:  

  • This describes a custom tier of service, wherein we can any or all of the following according to the customer’s needs: assess security posture, design one or more Identity and Access Management solutions to address their needs, implement the solution, and provide ongoing support or managed services (8 x 5, 16 x 5, 24 x 5, or 24 x 7) for that solution according to the SLAs. Customers in the MANAGED SERVICES plan have the option to add on product-specific AI Security Assistants for an additional fee. 

ACCURACY OF BILLING AND ACCOUNT INFORMATION 

You agree to provide current, complete, and accurate purchase and account information for Services that you purchase from Sennovate. You agree to promptly update your account and other information in the customer portal, including your email address and credit card numbers and expiration dates so that we can complete your transactions and contact you as needed. 

YOUR INFORMATION 

Your submission of personal information through email, phone, our website, and/or the customer portal is governed by our Privacy Policy

You understand that your information, excluding credit card information, may be transferred unencrypted and involve (a) transmissions over various networks and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. 

ERRORS, INACCURACIES AND OMISSIONS 

Occasionally there may be information on our website, customer portal, or in the Service that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, and promotions. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order). 

PROHIBITED USES 

You may not use our Services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction. 

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without express written permission by us. 

We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses. 

DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY 

We do not guarantee, represent or warrant that your use of our Services will be uninterrupted, timely, secure or error-free. 

We do not warrant that the results that may be obtained from the use of our Services will be accurate or reliable. 

You agree that from time to time we may remove the Services for indefinite periods of time or cancel the Services at any time, without notice to you. 

You expressly agree that your use of, or inability to use, the Services is at your sole risk. The Services are provided “as is” and “as available” for your use, without any representation, warranties, or conditions of any kind, either express or implied, including all implied warranties or conditions. 

In no case shall Sennovate, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of our Services, or for any other claim related in any way to your use of our Services, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the Services or any content posted, transmitted, or otherwise made available via the Services, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law. 

INDEMNIFICATION 

You agree to indemnify, defend and hold harmless Sennovate and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference or your violation of any law or the rights of a third-party. 

SEVERABILITY 

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions. 

TERMINATION 

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. 

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our Services. 

If in our sole judgment you fail, or we suspect that you have failed, to comply with these Terms, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof). 

ENTIRE AGREEMENT 

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 

These Terms and any policies or operating rules posted by us on this site or in respect to the Services constitutes the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms). 

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party. 

GOVERNING LAW 

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America. 

CHANGES TO TERMS OF SERVICE 

You can review the most current version of the Terms at any time at this page. 

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
